AL AMPARO DE LO PREVISTO EN LA DISPOSICION FINAL 1. DEL REAL DECRETO 377/1991, DE 15 DE MARZO, SOBRE COMUNICACION DE PARTICIPACIONES SIGNIFICATIVAS EN SOCIEDADES COTIZADAS Y DE ADQUISICIONES POR ESTAS DE ACCIONES PROPIAS, LA ORDEN DEL MINISTERIO DE ECONOMIA Y HACIENDA DE 23 DE ABRIL DE 1991, HABILITA A LA COMISION NACIONAL DEL MERCADO DE VALORES PARA APROBAR LOS MODELOS CON ARREGLO A LOS QUE HAN DE REALIZARSE LAS MENCIONADAS COMUNICACIONES. EN SU VIRTUD, EL CONSEJO DE LA COMISION NACIONAL DEL MERCADO DE VALORES, EN SU REUNION DEL DIA 24 DE ABRIL DE 1991, HA APROBADO LA SIGUIENTE CIRCULAR:

NORMA PRIMERA. LAS COMUNICACIONES QUE HAYAN DE REALIZARSE EN CUMPLIMIENTO DE LO DISPUESTO EN EL CAPITULO I DEL REAL DECRETO 377/1991, DE 15 DE MARZO, SOBRE COMUNICACION DE PARTICIPACIONES SIGNIFICATIVAS EN SOCIEDADES COTIZADAS Y DE ADQUISICIONES POR ESTAS DE ACCIONES PROPIAS, DEBERAN EFECTUARSE CUMPLIMENTANDO EL MODELO QUE FIGURA COMO ANEXO PRIMERO DE LA PRESENTE CIRCULAR.

NORMA SEGUNDA. LAS COMUNICACIONES QUE HAYAN DE REALIZARSE EN CUMPLIMIENTO DE LO DISPUESTO EN EL CAPITULO II DEL REAL DECRETO CITADO EN LA NORMA ANTERIOR, DEBERAN EFECTUARSE CUMPLIMENTANDO EL MODELO QUE FIGURA COMO ANEXO SEGUNDO DE LA PRESENTE CIRCULAR.

NORMA TERCERA. EN TODO CASO, DEBERAN SER CUMPLIMENTADOS CUANTOS DATOS FIGUREN EN LOS EXPRESADOS MODELOS Y RESULTEN DE APLICACION AL SUPUESTO DE QUE SE TRATE. EN CONSECUENCIA, LA HOJA NUMERO 2 DE CADA UNO DE LOS REFERIDOS ANEXOS SOLO SE CUMPLIMENTARA EN EL CASO DE QUE EXISTAN PARTICIPACIONES INDIRECTAS, ENTENDIENDO POR TALES LAS QUE SE MANTENGAN A TRAVES DE SOCIEDADES CONTROLADAS O PERSONAS INTERPUESTAS.

NORMA FINAL. LA PRESENTE CIRCULAR ENTRARA EN VIGOR EL DIA SIGUIENTE DE SU PUBLICACION EN EL <BOLETIN OFICIAL DEL ESTADO>.
